API Terms of Use
This document governs the terms under which you may access and use the application programming interface that is made available on this website or the JSON content feed if made available by DATABASICS, at DATABASICS’s sole discretion (both, collectively the “API”), the data transmitted through the API (the “DATABASICS Content. This document incorporates the terms of the following additional documents, including all future amendments or modifications thereto (collectively, and together with this document, the “API Agreement”):
API Terms of Use
- Customer desires to use DATABASICS API to develop custom software applications (“the Services”) using Customer’s DATABASICS data. DATABASICS will provide access to those API’s according to the following terms and conditions.
- Customer will comply with all applicable regulations and laws including but not limited to those relating to personal information and privacy. It is the Customer’s responsibility to determine which laws and regulations apply to the Services.
- Customer will not acquire any ownership rights with regard to DATABASICS API, nor will Customer’s development of the Services in any way limit, restrict or encumber DATABASICS’ right to develop and commercialize software, including software that resembles the Services or has the same or similar purpose as the Services. Customer’s rights are restricted to usage as explicitly described herein.
- Term and Termination.
- The Term of this Addendum unless terminated earlier as provided for in 3 shall be coincident with the term of the Service Order and will renew automatically with the renewal of the Service Order.
- Either party may terminate for cause or convenience. Customer can terminate by ceasing to use DATABASICS API and notifying DATABASICS within five (days). DATABASICS can terminate by giving Customer notice. Generally, DATABASICS will give Customer a minimum of thirty (30) days notice, however, DATABASICS retains the right to reduce the notice period as it considers necessary or appropriate.
- Sections “9”, “10”, and “11” will survive termination
- General Access and Usage.
- Developer credentials (such as passwords, keys, tokens, and client IDs) will be issued to the following Customer employees or contractors (“Access List”). The list needs to be supported to [email protected]
- Customer is fully responsible for the compliance of the individuals named in the Access List (“Assignee”s ) with Service Order and this addendum.
- Developer Credentials will be kept confidential by the individual to which they are assigned and the Assignee will not share those Credentials. All breaches of Credential security will be reported as soon as reasonably possible to DATABASICS.
- Customer may add or remove individuals from the Access List by contacting DATABASICS.
- DATABASICS at its sole discretion may suspend the access privileges of any or all Assignees.
- Developer credentials may not be embedded in open source projects.
- Assignees will only access (or attempt to access) an API by the means described in the documentation of that API and will only attempt to use Developer Credentials with the applicable API’s.
- Customer may use DATABASICS API to develop the Services for internal, customary business purposes. The Services may search, display, analyze, retrieve and view Customer’s DATABASICS data.
- The Services will display the following notice, or an equivalent approved by DATABASICS, prominently within the application: “Powered by DATABASICS Data API—Developed, maintained and supported exclusively by Customer”.
- Right to Limit.
- The Services must not create operational problems with API-connected DATABASICS systems.
- DATABASICS at its sole discretion may impose limits on the Services with respect to access, calls, use or other Services activities. As well, it may temporarily or permanently suspend access by the Services.
- DATABASICS may monitor the Services to suggest efficiencies or to ensure compliance with Service Order and this addendum.
- Development and Implementation
- The Services will be developed in Customer’s DATABASICS Test Environment.
- Prior to moving the Services to Customer’s DATABASICS Production Environment, Customer will arrange for DATABASICS to conduct a review of the Services.
- Upon reviewing the Services, DATABASICS at its sole discretion will (1) enable the Services for production (2) suggest resubmission for review after making specific modifications or (3) prohibit production and potentially Test Environment use.
- DATABASICS API s provided “as is” and on an “as-available” basis. DATABASICS disclaims all warranties of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, and non-infringement. DATABASICS makes no warranty that data will be error-free or that access thereto will be continuous or uninterrupted.
- DATABASICS does not endorse the Services nor will DATABASICS be held responsible to any degree for the Services’ (1) performance or (2) intended or unintended use including but not limited to impacts affecting other systems, personnel, privacy, confidentiality, regulatory compliance and business activities.
- In no event will DATABASICS be liable with respect to any subject matter of this Addendum under any contract, negligence, strict liability or other legal or equitable theory for: (1) any special, incidental, or consequential damages; (2) the cost of procurement of substitute products or services; or (3) for interruption of use or loss or corruption of data.
- Customer will indemnify and hold harmless DATABASICS, including DATABASICS, its contractors, employees, agents, and other associated individuals and entities, from and against any and all claims and expenses, including attorney’s fees, arising out of use of DATABASICS API, including but not limited to violation of this addendum.
- DATABASICS’s failure to exercise or enforce any right or provision of this Agreement shall not constitute waiver of such right or provision.
